In making its recommendation that Fission shareholders vote FOR the board's proposed nominees, ISS states that "the board is structured to provide accountability and independent oversight which is consistent with market practices". ISS further states, "the board as a whole is majority independent and has established all expected key committees and is entirely independent". With respect to the amendment of By-Law No. 1, ISS recommends that shareholders "vote FOR the proposed by-law as no significant governance concerns have been identified at this time" and "no problematic provisions have been identified within the proposed advance notice provision".
